Ecolab tables bid for Laboratoires Anios

Ecolab has made an undisclosed binding offer to acquire Laboratoires Anios from co-owners Bertrand and Thierry Letartre and private investment company Ardian

Anios is a European manufacturer and marketer of hygiene and disinfection products for the food and beverage processing, food service and healthcare industries.

The firm has a presence in more than 80 countries employing 700 people worldwide and sales were €220m ($245m) in 2015.

It has two production sites and a 1,000m² research centre in northern France, one production plants in the south of France and four foreign sites (in Italy, Turkey, Argentina and Brazil).
The transaction is structured as a binding offer with exclusivity protection to allow the sellers to consult with their French works councils prior to entering into the definitive purchase agreement.

Douglas M. Baker, Jr., Ecolab chairman and CEO, said it was ‘excited’ to join forces with Anios.

“Their innovative product line expands the solutions we can offer while also providing a complementary geographic footprint. Its presence in the food and beverage processing and foodservice markets also complements ours.”

Over the last three years, since Aridan took control from Air Liquide, growth at Laboratoires Anios has accelerated through the purchases of Soluscope (France) in 2014, the acquisition of majority stakes in Endoclear (Brazil) and Deren (Turkey) in 2015.

Bertrand Letartre, CEO, and Thierry Letartre, managing director, will remain with the combined organization providing leadership of the acquired business.

The transaction is expected to close in late 2016 subject to clearance by applicable regulatory and competition authorities.
